Second Position MCA: How Placement Actually Works

Half the files on a broker’s desk already have an advance on them. What “position” really means, why pricing changes behind an existing balance, what underwriters check, and how to package these files so they fund instead of die.

What "position" means

Position is simply the order of a merchant's active advances. A merchant repaying one advance who takes a second now carries a first and a second position — two payment obligations drawing on the same revenue. Each added position is called "stacking," and each one makes the file riskier for the next funder in line.

1st position

Clean file

No existing advance. Widest funder appetite, best pricing, largest advances relative to revenue.

2nd position

One active advance

Fundable at many outlets, but pricing tightens: expect higher cost, shorter term, smaller size. Payment history on the first position matters a lot.

3rd+ position

Stacked file

Appetite narrows sharply. Often the right conversation is consolidation or a different product, not another payment.

What underwriters actually check on a second-position file

Every funder's box is its own, but the questions behind a second-position review are consistent across the market:

Use of fundsGrowth capital on top of a working advance is a different story than borrowing to cover the existing payment. The second story usually ends the deal.
The line brokers should never cross: hiding an existing position to get a "first position" approval. Funders see the payments in the bank statements, stacking violations breach the merchant's existing contract, and it's the fastest way to lose both the deal and your funder relationships.

How to package a second-position file so it funds

Disclose the position up front — in the submission notes

State the existing balance, funder-anonymous terms, and payment amount. Underwriters find it anyway; disclosure buys credibility, concealment buys a decline.

Show the payment math yourself

Combined payments as a share of average monthly deposits, computed from the statements. If you can't make that math work, the deal doesn't work — pivot to an alternative instead of shopping it.

Lead with performance on position 1

Months of clean payments on the existing advance is the strongest single point in the file. Say it explicitly.

Explain use of funds concretely

"Inventory for a confirmed PO" places; "working capital" on a stacked file reads as payment coverage.

Send it to outlets that actually take the position

When another position is the wrong answer

Reverse consolidation

A structure that covers the merchant's existing advance payments on a schedule, effectively swapping several payments for one — availability depends on the file.

Consolidation / payoff

A single new facility that pays off existing positions at funding, replacing the stack with one obligation.

Different product

Some stacked merchants qualify for term loans, lines of credit, equipment, or invoice-based financing that don't compound the daily-payment problem. See where to place deals.
